1. Introduction
These Terms & Conditions outline the agreement between Royal Comfort Home Services LLC (referred to as "Royal Comfort", "we", "us", or "our") and our customers (referred to as "you" or "purchaser"), whether an individual homeowner or a general contractor/subcontractor, regarding the provision of HVAC, Plumbing, Remodel, and Handyman services, repairs, maintenance, and installations.
2. Project Acceptance
Approval of any project, as evidenced by a signed estimate or invoice, or by verbal agreement to schedule work, signifies your understanding and acceptance of these Terms & Conditions. In instances where a written approval is not immediately available, a verbal agreement to schedule work will be considered as your full acceptance of the bid paragraph, scope of work, and all verbiage within the estimate or proposal, thereby constituting a binding contract.
3. Payment Terms
Payment for all services, materials, and equipment is due as specified on the accompanying estimate or invoice. Unless otherwise explicitly stated, payment is due upon completion of work. For larger projects requiring deposits or progress payments, these will be clearly outlined on the estimate or invoice. We accept various forms of payment, which will be specified on your invoice.
Cancellation and Mobilization Fees: If Royal Comfort Home Services LLC arrives at the scheduled location for work and the project is subsequently cancelled by you, a mobilization fee will be invoiced. This fee will cover travel time, materials purchased for the project, time spent on site, travel time back to our office, and any travel time and fees incurred to return purchased items. You agree to pay this invoice willingly.
4. Late Payments and Interest
Any invoice not paid by the due date specified will be considered past due. A late payment charge of twelve percent (12%) per annum will be applied to the unpaid balance, calculated daily from the due date until the date of full payment. In the event of non-payment, Royal Comfort Home Services LLC reserves the right to cease all work, revoke any warranties, and pursue collection actions, including but not limited to, legal action and referral to a collection agency. Furthermore, to the fullest extent permitted by Colorado law, Royal Comfort Home Services LLC reserves the right to file a mechanic's lien on the property where the services were performed to secure payment for unpaid balances. All costs associated with collection, including attorney fees and court costs, will be your responsibility.
Stop Payment Fee: Should a stop payment be issued for any reason on a check or other payment method, a fee of $150 will be added to your final bill to cover costs associated with travel to pick up a second check, lien costs, processing fees, bank fees, and other administrative expenses.
5. Labor Warranty
Royal Comfort Home Services LLC provides the following labor warranties:
- Standard Labor Warranty: We offer a one (1) year warranty on all labor performed, effective from the date of service completion. This warranty covers defects in workmanship under normal use and service.
- Installation Labor Warranty: For new equipment supplied and installed by Royal Comfort Home Services LLC, Royal Comfort provides a lifetime labor warranty against errors on our part. This warranty applies exclusively to issues directly resulting from our installation workmanship being incorrect or faulty, for the lifetime of the installed equipment, provided the equipment remains in its original installed location and is properly maintained. This does not cover defects or failures due to normal wear and tear, lack of maintenance, misuse, abuse, acts of God, or issues not directly attributable to our installation error.
6. Equipment Parts Warranty - Dealer Brands
Royal Comfort Home Services LLC installs equipment from various manufacturers. The parts warranties for these brands are as follows:
- LG Equipment: LG equipment installed by Royal Comfort Home Services LLC comes with an extended seven (7) year parts warranty. This is two (2) years beyond the standard five (5) year warranty, due to our certification with LG. This warranty covers parts that fail due to manufacturing defects.
- American Standard Equipment: American Standard equipment installed by Royal Comfort Home Services LLC comes with a ten (10) year parts warranty. This warranty covers parts that fail due to manufacturing defects.
For equipment from any other manufacturer not specifically listed above, the parts warranty will be solely subject to and governed by the terms and conditions provided by that specific manufacturer. Royal Comfort Home Services LLC does not extend or modify manufacturer parts warranties beyond what is explicitly stated for LG and American Standard due to our certified dealer status.
7. Warranty Registration
It is the purchaser's responsibility to register the equipment warranty with the respective manufacturer. However, Royal Comfort Home Services LLC will endeavor to register the equipment warranty on your behalf to the best of our ability after installation. While we make every effort, we cannot guarantee the successful registration or assume liability for manufacturer's warranty policies or processes, as these are determined by the individual manufacturers. We highly recommend that you verify the registration and keep records of all warranty information provided by the manufacturer.
8. Right to Cure
In the event of any alleged defect, deficiency, or problem with the services or materials provided by Royal Comfort Home Services LLC, you agree to notify us in writing within a reasonable time after discovery of such condition. You must provide us with a reasonable opportunity, typically not less than ten (10) business days, to inspect the alleged defect or deficiency and, at our sole option, to correct, repair, or replace the services or materials at no additional cost to you. Failure to provide Royal Comfort Home Services LLC with such written notice and reasonable opportunity to cure will constitute a waiver of any claim for damages or liability against Royal Comfort Home Services LLC related to such alleged defect or deficiency, and you will not be entitled to seek recovery from us for the costs of any work performed by others to address such issues without our prior written consent.
9. Subcontractor Provisions
When Royal Comfort Home Services LLC performs services as a subcontractor for a general contractor or another entity (the "Prime Contractor"), the terms of any written agreement between Royal Comfort and the Prime Contractor shall take precedence regarding the scope of work, schedule, and specific payment terms. However, these Terms & Conditions shall apply to all aspects not expressly covered by such a prime agreement. The Prime Contractor agrees to indemnify, defend, and hold harmless Royal Comfort Home Services LLC from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from the Prime Contractor's direct contracts with their clients, or from any acts or omissions of the Prime Contractor or its other subcontractors. Royal Comfort's liability when acting as a subcontractor is strictly limited to the direct work performed by Royal Comfort and not for the overall project or the work of other parties.
10. Liability Waiver and Acknowledgement of Non-Standard Installation for Humidifier
By proceeding with the installation of a steam humidifier with a fan pack for humidity dispersal, you (the "Client") acknowledge that this installation is against our professional recommendation, which is to utilize a standard air handler or furnace for optimal and warrantied performance. You have chosen to proceed with this installation without installing on a furnace or air handler. Client understands and accepts the specific risk that if the fan pack fails to operate or ceases to operate, the steam humidifier may continue to produce humidity, potentially leading to excessive moisture, condensation, and/or water damage to the property, building materials, and/or personal belongings. Due to this non-standard installation and the aforementioned risks, Royal Comfort Home Services LLC will not provide a warranty for any damages, losses, or issues arising directly or indirectly from the failure of the fan pack, the continued operation of the humidifier after such failure, or any resulting water/moisture damage. Client hereby waives any and all claims against Royal Comfort Home Services LLC, its employees, and agents for such water damage or related issues stemming from the failure of the fan pack in this specific configuration.
11. Limitation of Liability
Royal Comfort Home Services LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, loss of data, or interruption of business, arising out of or in connection with our services or products, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to this agreement shall not exceed the total amount paid by you for the specific services or products giving rise to the claim.
12. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.
13. Severability
If any provision of these Terms & Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms & Conditions shall otherwise remain in full force and effect and enforceable.
14. Entire Agreement
These Terms & Conditions, along with the specific details on your estimate or invoice, constitute the entire agreement between you and Royal Comfort Home Services LLC concerning the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
15. Force Majeure
Royal Comfort Home Services LLC shall not be liable for any delay or failure to perform its obligations hereunder due to causes beyond its reasonable control, including but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
16. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms & Conditions or the services provided by Royal Comfort Home Services LLC shall first be attempted to be settled through good faith negotiations between the parties. If a resolution cannot be reached through negotiation, the parties agree to consider mediation or, failing that, binding arbitration in accordance with the rules of the American Arbitration Association, with the arbitration to take place in Lakewood, Colorado.
